1. Agreement and acceptance
Parties, effective date, and how acceptance occurs (signup, order form, or both).
2. The service
Describe what is provided, and state clearly that Cliqda acts on connected advertising accounts on the customer’s instruction.
3. Accounts and eligibility
Account security obligations, authority to connect ad accounts, and age or entity limits.
4. Customer responsibility for changes
This clause matters more here than in most SaaS terms. Cliqda writes changes to live advertising accounts that spend real money. Set out that the customer is responsible for changes they apply and for automations they configure, and describe the approval gate.
5. Fees, billing and taxes
Pricing basis (tracked ad spend and connected accounts), billing cycle, proration on plan change, late payment, and tax handling.
6. Trial terms
Trial length, what happens at expiry, and confirmation that no charge is taken without an affirmative act by the customer.
7. Acceptable use
Prohibited uses, rate limits, and consequences of breach.
8. Third-party platforms
State that Google, Microsoft, Meta and LinkedIn are independent third parties, that their APIs and terms govern their own services, and that Cliqda is not responsible for their availability or changes to their APIs.
9. Intellectual property
Ownership of the service, of customer data, and any feedback licence.
10. Warranties and disclaimers
Service warranties, and an explicit disclaimer that recommendations are advisory and do not guarantee advertising performance.
11. Limitation of liability
Liability cap, excluded losses, and any carve-outs.
12. Indemnities
Mutual indemnities, particularly around IP claims and customer data.
13. Term, suspension and termination
Term, renewal, termination for convenience and for cause, and data export on termination.
14. Governing law and disputes
Governing law, venue, and dispute resolution process.
15. Changes to these terms
How changes are made and what notice is given.
